1. Overview

These Terms of Sale (“Terms”) govern all purchases of products from Kingdom Health Sciences. By placing an order, you agree to these Terms.

2. Practitioner-Exclusive Distribution

• Our products are sold exclusively to qualified licensed healthcare practitioners for resale within their practice.

• When practitioner resale occurs on the practitioner’s website, a patient login is required to show pricing.

3. Authorized Sales Channels

Kingdom Health Sciences is a premium, practitioner-exclusive brand, and we actively protect the quality, reputation, and clinical integrity of our products.

Authorized Resale

• Products may only be sold through licensed healthcare practitioners approved for an account with Kingdom Health Sciences.

Prohibited Sales Activities

The following activities are strictly prohibited:

• Sale on third-party marketplaces (including but not limited to Amazon, eBay, Walmart Marketplace)

• Distributing or diverting products through unauthorized practitioners, retailers, wholesalers, or resellers

• Transfer or bulk resale to non-authorized entities

4. Minimum Advertised Price (MAP) Policy

To protect the integrity of our brand and ensure practitioner fairness, Kingdom Health Sciences enforces a Minimum Advertised Price (“MAP”) policy, defined as the established retail price for all products (see price list).

• All authorized practitioners must adhere to the designated MAP for all public-facing advertisements, including but not limited to websites, email promotions, and social media.

• MAP applies to any price that is visible prior to purchase, including “add to cart” pricing where applicable. Providing a discount code for the checkout process is permitted.

• Discounting below MAP in any publicly accessible format is strictly prohibited without prior written authorization.

• Private, practitioner-directed pricing within a clinical relationship (e.g., patient-specific discounts not publicly advertised) is permitted.

Violations of the MAP policy may result in:

• Suspension or termination of account privileges

• Revocation of practitioner purchasing access

• Cancellation of pending or future orders

• Legal action where applicable

We reserve the right to monitor advertised pricing and enforce compliance at our sole discretion.

5. Product Use Disclaimer

• Products are intended for professional-guided use.

• Statements have not been evaluated by the FDA.

• Products are not intended to diagnose, treat, cure, or prevent any disease.

• Patients should consult their healthcare provider before use, especially if pregnant, nursing, taking medication, or managing a medical condition.

6. Pricing & Payment

• We reserve the right to modify pricing at any time without prior notice.

• Payment is due at the time of purchase via approved payment methods.

• Practitioner accounts may have access to promotional pricing opportunities.

7. Orders & Acceptance

• Orders are subject to acceptance and availability.

• We reserve the right to refuse or cancel any order, including suspected unauthorized resale or misuse.

• Once an order is placed, it cannot be modified after processing.

8. Shipping & Delivery

• Shipping timelines are estimates and not guaranteed.

• Risk of loss transfers to the customer upon delivery.

• Customers are responsible for providing accurate shipping information.

9. Returns & Refunds

Due to the nature of our products:

• We may limit returns to unopened, unused items within 30 days of delivery.

• Opened products may not be eligible for return unless defective.

• Refunds are issued to the original payment method after inspection.

10. Account Responsibility

• Customers are responsible for maintaining the confidentiality of their account credentials.

• Practitioner accounts must ensure compliance with applicable professional regulations and all federal, state, and local laws.

11. Protection of Brand

Brand Representation

• All marketing, product descriptions, and claims must align with company-approved messaging.

• Unauthorized claims, medical statements, or misrepresentation of products is prohibited.

• Use of brand assets (logos, images, copy) must comply with brand guidelines.

Product Integrity

• Products must be stored, handled, and shipped in accordance with professional and manufacturer standards.

• Selling expired, tampered, relabeled, or otherwise compromised products is strictly prohibited.

Enforcement

We actively monitor distribution channels and brand usage. Violations may result in:

• Immediate account termination

• Suspension of practitioner account

• Refusal of future sales

• Legal action, including claims for damages and injunctive relief

12. Intellectual Property Protection

All trademarks, trade names, logos, product designs, and proprietary formulations are the exclusive property of Kingdom Health Sciences.

• No rights are granted to use intellectual property except as expressly authorized.

• Unauthorized use, reproduction, or modification of brand materials is strictly prohibited.

• Practitioner partners may use approved assets solely for authorized promotional purposes.

13. Gray Market & Diversion Policy

We maintain a strict policy against product diversion and gray market sales.

• Products purchased from unauthorized sources are not guaranteed for authenticity, safety, or efficacy.

• We reserve the right to refuse support, refunds, or replacements for products obtained outside authorized channels.

• Any party found engaging in diversion may be permanently restricted from purchasing.

14. Limitation of Liability

To the fullest extent permitted by law:

• Kingdom Health Sciences shall not be liable for any indirect, incidental, or consequential damages arising from product use or inability to use products.

• Total liability shall not exceed the purchase price of the product.

15. Indemnification

You agree to indemnify and hold harmless Kingdom Health Sciences from any claims arising out of misuse of products, violation of these Terms, or unauthorized resale.

16. Governing Law

You acknowledge that any breach of MAP policy, resale restrictions, or brand protection provisions may cause irreparable harm to Kingdom Health Sciences. We reserve the right to seek injunctive relief, in addition to any other remedies available under law.

17. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our products constitutes acceptance of any changes.

By purchasing our products, you acknowledge that you have read, understood, and agree to these Terms of Sale.
